Legal Centre / Platform Service Agreement

Platform Service Agreement

Version 1.1 · Effective 14 August 2026

In short

  • This is the contract between Evifound and the organisation that subscribes to evifound.
  • You may use reports for your own diligence. You may not resell them or use them for consumer-eligibility decisions.
  • Fees are charged per plan or per verification, in advance, and are non-refundable once a verification has started.
  • Either side may end the agreement; your data can be exported or deleted afterwards.

1. Parties and scope

This Platform Service Agreement ("Agreement") is between Evifound ("we") and the organisation that creates an account or purchases a plan ("Subscriber", "you").

It covers access to the evifound platform, the verification workflow, the Evidence Ledger, report exports and sharing links.

2. Access and accounts

  • You may invite users within your organisation. You are responsible for what they do with the account.
  • Keep credentials confidential and tell us promptly of any suspected unauthorised access.
  • We may suspend access where use threatens the security, integrity or lawful operation of the service.

3. What you may do with reports

You may use reports and exports for your own investment, partnership, commercial or governance diligence, and share them internally and with your investment committee, advisers and co-investors on the same deal, provided they are bound to keep them confidential.

You may not:

  • use output for employment, credit, tenancy, insurance or other consumer-eligibility decisions (see Not a Consumer Report);
  • resell, syndicate, license or publish raw output or build a competing dataset from it;
  • use output for harassment, unlawful surveillance or any purpose prohibited by the Acceptable Use Policy.

4. Your obligations when ordering a verification

You confirm that:

  • you have a genuine and lawful diligence purpose;
  • the information you enter about a company or founder is accurate to your knowledge;
  • you have the right to provide any documents you upload, including pitch decks and business plans;
  • you will not order a verification about a person with whom you have no legitimate business connection;
  • permissible purpose. You warrant that every verification is ordered for investment, acquisition, financing or other business diligence, and that you will not use any output, in whole or in part, as a factor in a decision about a person's employment, credit, insurance, tenancy or any other consumer-eligibility determination. You give this attestation when you create a company record and again before the first verification runs; it is time-stamped and stored. A false attestation is a material breach and we may suspend or terminate access without refund. See Not a Consumer Report.

5. Founder participation

Verification depends on the founder consenting, completing the intake form and confirming the versioned consent set. Where a founder declines, does not complete these steps or later withdraws consent, affected lines remain Pending, Not checked or Unavailable, and you will be notified. Every view of a report by you, your colleagues, a shared-link recipient or the founder is recorded in an access log available to your account owner; shared links expire after 30 days unless extended. Fees already incurred for completed work are not refunded on that basis alone.

6. Fees, billing and taxes

  • Fees are those shown at purchase, whether per plan or per verification.
  • Charges are taken in advance through our payment processor. We do not store full card details.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • Fees are exclusive of taxes, which are added where applicable.
  • Once a verification has started, its fee is non-refundable.

7. Data protection

Where we process personal data about founders and other subjects on your instruction, the Data Processing Addendum applies and forms part of this Agreement. Our handling of personal data generally is described in the Privacy Policy. Personal data is processed in the European Union, the United Kingdom and North America under the transfer safeguards described in the DPA. We will notify you without undue delay, and in any event within 48 hours of confirming a personal-data breach affecting data processed for you.

We do not see, use, or share private data beyond what is strictly necessary to run the verification you requested — no secondary use, no data broking, no marketing to founders, no training of general-purpose AI models. See the Privacy Policy for the full statement.

8. Confidentiality

Each side will keep the other's non-public information confidential and use it only to perform this Agreement. This does not apply to information that is public through no breach, independently developed, or required to be disclosed by law.

9. Intellectual property

We own the platform, its methodology, models, interfaces and branding, including Know Your Founder™. You own the material you upload. You grant us the rights needed to process that material to deliver the service. Reports are licensed to you for the uses in clause 3.

10. Warranties and limitation of liability

The service is provided as described in No Warranty, Limitations and Proper Use, which is incorporated into this Agreement, including its limitation of liability.

Evifound does not generate data; it is retrieved from independent third-party data providers and public sources. No guarantee of completeness or accuracy is given; all investment and business decisions are made at your sole discretion. See No Warranty, Limitations and Proper Use.

11. Term, suspension and termination

  • The Agreement runs for the plan term and renews unless cancelled.
  • Either side may terminate for material breach that is not cured within 30 days of notice.
  • We may suspend or terminate immediately for unlawful use or non-payment.
  • On termination, access ends. You may export your reports for 30 days; after that we delete or anonymise your data in line with our retention schedule.

12. Changes

We may update this Agreement. Material changes take effect on renewal, or 30 days after we notify you, whichever comes first. Continued use after that constitutes acceptance.

13. General

  • Neither side is liable for delays caused by events outside its reasonable control.
  • You may not assign this Agreement without our consent; we may assign it as part of a corporate transaction.
  • If a clause is unenforceable, the rest continues to apply.
